Project Summary

The Project refers to the alienation of the equity interests of the Brazilian Airport Infrastructure Company (Infraero) in the concessionaires of Guarulhos International Airports (SP), Confins (MG), Galeão (RJ) and Brasília (DF) - corresponding to 49% of the share capital of each of these companies.

These terminals are some of the main ones in Brazil and Latin America, whether in terms of number of passengers or cargo transported, in addition to being located in major economic centers of the Country. The Guarulhos Airport, for example, has a commercial area of 1,750 square meters and enough space for 20 stores. Currently, the airport has the capacity to receive more than 50 million passengers/year.

Infraero's airports, which in 2016 alone carried more than 104 million passengers, are considered to be true business centers and offer a wide range of economic activities - ranging from retail, food and airport media to foreign enterprises such as hotels, hangars, convention centers and parking lots.

In line with the governmental policy for new developments in the airport sector, the sale of Infraero's participation in the concessions of Guarulhos, Confins, Galeão and Brasília Airports was approved by the 3rd Meeting of the PPI Board, on August 23, 2017.

History - Infraero is a public company owned by the Federal Government, constituted under the terms of Act No. 5,862, of December 12, 1972, in the form of a corporation, which currently manages: 60 airports; 24 cargo logistics terminals; and 68 Stations Providing Telecommunications and Air Traffic Services (EPTA) in the Country.

The objective of the Federal Government with the participation of Infraero in these concessions over the last five years has been achieved: completion and conclusion of the main investments planned for the improvement of capacity and facilities. In addition, the concession period ensured the accumulation of technical and practical knowledge of the company through partnerships with private models of airport management. Currently, the four airports are in full operation by the respective concessionaires.

GUARULHOS INTERNATIONAL AIRPORT (GRU AIRPORT)

• Concession: started on 07/11/2012, with a 20-year term;
• Passenger traffic in 2016: 36,596,326;
• Cargo movement in 2016: 241,001 tons;
• Passenger capacity per year: 48 million;
• Terminal area: approximately 360,000 m²;

CONFINS INTERNATIONAL AIRPORT (BH AIRPORT)

• Concession: started on 05/07/2014, with a 30-year term;
• Passenger traffic in 2016: 9,638,798;
• Cargo movement in 2016: 27,455 tons;
• Passenger capacity/year: 22 million;
• Terminal Area: 132,000 m²;

RIO DE JANEIRO INTERNATIONAL AIRPORT (RIOGALEÃO)

• Concession: started on 05/07/2014, with a 25-year term;
• Passenger traffic in 2016: 16,103,011;
• Cargo movement in 2016: 69,748 tons;
• Passenger capacity/year: 30 million;
• Terminal Area: 280 thousand square meters of total area in Terminals 1 and 2;

BRASÍLIA INTERNATIONAL AIRPORT

• Concession: started on 12/1/2012, with a 25-year term;
• Passenger traffic in 2016: 17,947,153;
• Cargo movement in 2016: 36,068 tons;
• Passenger capacity/year: 21 million;
• Terminal Area: 110 thousand square meters in Terminal 1 and 3 thousand square meters in Terminal 2;
